Plain-language summary. Agencli is a lightweight workspace that helps clients connect with agencies and freelancers. You own the content you post. Be honest, respect other people's intellectual property, and do not abuse the service. We store only what we need to run the product, and we do not sell your personal data. The full terms are below.

1. Terms of Use

These Terms of Use (the "Terms") govern your access to and use of Agencli (the "Service"), operated by Agencli ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1.1 Eligibility

You must be at least 16 years old (or the age of digital consent in your country) and able to form a binding contract. If you use the Service for an organization, you confirm you are authorized to bind that organization.

You retain ownership of the content you submit (profiles, briefs, messages, files, portfolio items). You grant us a limited, non-exclusive, worldwide license to host, store, display and transmit that content solely to operate and improve the Service. You are responsible for your content and confirm you have the rights to share it.

1.4 Public listings

If you register as an agency or freelancer, your profile may be displayed on the public discovery network so potential clients can find you. You can edit or unlist your profile at any time from your settings.

1.5 Third-party & AI features

Some features send text you provide to third-party AI and analysis providers to generate results. Those providers process the input under their own terms. Do not submit confidential information you are not permitted to share with a third-party processor.

1.6 Fees

The Service is currently provided free of charge except where expressly stated. If paid features are introduced, pricing and payment terms will be shown before you incur any charge.

1.7 Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We do not guarantee that the Service will be uninterrupted, error-free, or that listings are accurate. Agencli does not employ, endorse, or vet the agencies, freelancers or clients on the network and is not a party to any agreement between them.

1.8 Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or USD 100.

1.9 Indemnity

You agree to indemnify and hold us harmless from claims arising out of your content, your use of the Service, or your violation of these Terms or applicable law.

1.10 Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violations or to protect the Service or its users.

1.11 Changes

We may update these Terms. Material changes will be reflected by the "Last updated" date above; continued use after changes means you accept them.

1.12 Governing law

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules, and disputes will be handled by the competent courts of that jurisdiction, unless mandatory local law gives you other rights.

You agree not to use the Service to:

3. Intellectual Property & Copyright (IP Infringement / DMCA)

Agencli respects intellectual property rights and expects users to do the same. The Service's software, branding, and design are owned by us or our licensors. User content remains owned by its respective owners.

3.1 Reporting infringement

If you believe content on the Service infringes your copyright or other IP rights, send a notice to our designated agent at anti.do.not.redeem@protonmail.com including: (a) your physical or electronic signature; (b) identification of the work claimed to be infringed; (c) the URL or description of the material and where it is located; (d) your contact details; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act on their behalf.

3.2 Counter-notice

If your content was removed and you believe this was a mistake or misidentification, you may submit a counter-notice with similar identifying information and a statement, under penalty of perjury, to that effect. We may restore the content if the original complainant does not pursue legal action within the period required by applicable law.

3.3 Repeat infringers

We will, in appropriate circumstances, disable or terminate accounts of users who are repeat infringers.

We rely on: performance of a contract (to run your account), our legitimate interests (security, improving the product), your consent (optional features), and compliance with legal obligations.

4.5 Sharing

We share data with service providers that host the Service and with AI/analysis providers strictly to deliver requested features. We do not sell your personal data. We may disclose data if required by law or to protect rights and safety.

4.6 Retention

We keep account and content data while your account is active and for a reasonable period afterward as needed to meet legal, security, and operational requirements, then delete or anonymize it.

4.7 Security

We use technical and organizational measures including transport encryption (HTTPS), restrictive security headers, hashed credentials, expiring sessions, and rate limiting. No method is 100% secure, but we work to protect your data.

4.8 International transfers

Your data may be processed in countries other than yours. Where required, we use appropriate safeguards for such transfers.

4.9 Children

The Service is not directed to children under 16, and we do not knowingly collect their data.

We do not sell or "share" personal information as those terms are defined under California law. California residents may exercise rights to know, delete, and correct, and will not be discriminated against for doing so.

We use a hosting provider to run the Service and third-party AI/analysis providers to power optional features. A current list is available on request at the contact above.

If a breach affecting your personal data occurs, we will notify affected users and the relevant authorities as required by applicable law.

6. Cookies & Local Storage

Agencli does not use advertising or third-party tracking cookies. The app uses your browser's local storage to keep you signed in and to remember preferences (for example, dismissing the welcome panel). A short-lived session token authenticates your requests. Clearing your browser storage will sign you out and reset local preferences.
